Terms of Service
1. Introduction and Acceptance
These Terms of Service ("Terms") govern the access to and use of the Healnote platform, including all associated software, mobile applications, web interfaces, APIs, and related services (collectively, the "Platform") provided by Healnote ("Healnote", "we", "us", or "our"), a technology company incorporated in Cairo, Egypt.
By accessing, registering for, or using the Platform, you ("User", "Clinic", "Doctor", or "Patient") agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.
These Terms constitute a legally binding agreement under Egyptian law, including but not limited to:
- The Egyptian Civil Code (Law No. 131 of 1948)
- The Egyptian Consumer Protection Law (Law No. 181 of 2018)
- The Egyptian Cybercrimes Law (Law No. 175 of 2018)
- The Egyptian Personal Data Protection Law (Law No. 151 of 2020) and Executive Regulations No. 816 of 2025
- The Egyptian E-Signature Law (Law No. 15 of 2004)
- The Egyptian Telecommunications Law (Law No. 10 of 2003)
2. Definitions
- "Platform" means the Healnote software, web application, mobile application, and all associated services.
- "Clinic User" means any licensed medical practitioner, clinic owner, hospital, or healthcare provider who subscribes to the Platform.
- "Patient" means any individual whose health information is collected, processed, or stored through the Platform.
- "Health Data" means any data relating to the physical or mental health of a Patient, including but not limited to medical history, diagnoses, prescriptions, examination findings, and treatment records.
- "AI Features" means the artificial intelligence-assisted functions within the Platform, including patient intake, clinical brief generation, drug interaction checking, document analysis, and bilingual handout generation.
- "Subscription" means the monthly access plan selected by the Clinic User.
- "Sensitive Personal Data" has the meaning given to it under Article 1 of Egypt's Personal Data Protection Law No. 151 of 2020, and includes all Health Data.
3. Nature of the Platform — AI Disclaimer
CRITICAL NOTICE — PLEASE READ CAREFULLY:
Healnote is a clinical workflow and documentation assistance platform. It is NOT a medical device, diagnostic tool, or provider of medical advice, diagnosis, or treatment.
- All AI-generated content, including Clinical Briefs, drug interaction alerts, differential diagnosis suggestions, and patient handouts, is provided as decision-support information only.
- Healnote's AI does not listen to, transcribe, or record clinical consultations or doctor-patient conversations.
- All drug interaction checks are based on available pharmaceutical databases and are intended to assist — not replace — the clinical judgment of a qualified and licensed physician.
- All clinical decisions, prescriptions, diagnoses, and treatment plans are the sole and exclusive responsibility of the licensed doctor or healthcare provider using the Platform.
- Healnote accepts no liability for any clinical decision, medical outcome, misdiagnosis, or patient harm arising from reliance on AI-generated content without appropriate professional medical judgment.
- Clinic Users are responsible for ensuring all Platform outputs are reviewed and validated by a licensed medical professional before being acted upon.
By using the Platform, each Clinic User expressly acknowledges and agrees that Healnote is a tool to assist healthcare professionals, and that human clinical judgment remains paramount at all times.
4. User Eligibility and Registration
4.1 Eligibility
Clinic Users must be licensed medical practitioners, clinic owners, or healthcare institutions registered and operating legally in Egypt or any permitted jurisdiction.
4.2 Warranties
By registering, you warrant that: (a) all information provided is accurate and complete; (b) you hold all necessary professional licences and regulatory approvals; (c) you will keep your account credentials confidential; (d) you are legally authorised to bind your organisation to these Terms.
4.3 Suspension and Termination
Healnote reserves the right to suspend or terminate accounts where eligibility requirements are not met or where false information is provided.
4.4 Third-Party Authentication
You may create an account or sign in using Google Sign-In or Sign in with Apple. By using a third-party sign-in provider, you agree to that provider's terms of service and privacy policy. Healnote does not receive or store your Google or Apple password. Authentication data collected from these providers is described in our Privacy Policy.
5. Subscriptions, Fees, and Payment
5.1 Subscription Bundles
Clinic Users may subscribe to the Platform through one of the available monthly subscription bundles. Each bundle specifies a maximum number of patient visits included per month.
5.2 Overage Charges
Where a Clinic User exceeds the patient visit limit included in their active subscription bundle within a calendar month, an additional fee of EGP 25 per patient visit above the limit will apply automatically.
5.3 Upgrades
Clinic Users are encouraged to upgrade their subscription bundle before exceeding their limit to avoid per-visit overage charges.
5.4 Billing Cycle
All subscription fees are billed monthly in advance. Overage charges are billed at the end of the relevant calendar month.
5.5 Currency and Taxes
All fees are stated in Egyptian Pounds (EGP) and are inclusive of applicable taxes unless stated otherwise.
5.6 Price Amendments
Healnote reserves the right to amend subscription prices with 30 days' written notice to Clinic Users.
5.7 Refunds
Refunds are not provided for partial months or unused visits within a subscription period, except where required by Egyptian Consumer Protection Law No. 181 of 2018.
6. Data Ownership and Processing
6.1 Ownership
All patient Health Data entered into or generated through the Platform remains the property of the Patient and the Clinic User. Healnote does not claim ownership over any patient data.
6.2 Role of Healnote
Healnote processes patient Health Data solely as a Data Processor acting on behalf of the Clinic User (who is the Data Controller) for the purpose of providing the Platform's services.
6.3 Usage Limitations
Healnote will not sell, share, license, or use patient Health Data for any commercial purpose, marketing, or third-party data processing beyond what is necessary to provide the Platform.
6.4 Compliance
Healnote processes patient data in accordance with Egypt's Personal Data Protection Law No. 151 of 2020, Executive Regulations No. 816 of 2025, and Healnote's Privacy Policy.
6.5 Retention and Deletion
Upon termination of a Clinic User's subscription, patient data will be retained for a period required under applicable Egyptian law, after which it will be securely deleted. Clinic Users may request data export before termination.
7. Intellectual Property
7.1 Healnote IP
The Platform, including all software, algorithms, designs, interfaces, documentation, and AI models, is the exclusive intellectual property of Healnote and is protected under Egyptian intellectual property law.
7.2 Licence to Use
Clinic Users are granted a limited, non-exclusive, non-transferable licence to access and use the Platform solely for their internal clinical workflow purposes during their active subscription period.
7.3 Restrictions
Users may not copy, modify, distribute, reverse engineer, decompile, or create derivative works from any part of the Platform.
8. User Obligations
By using the Platform, all users agree to:
- Use the Platform only for lawful purposes and in compliance with all applicable Egyptian laws and regulations
- Obtain all required patient consents before entering patient data into the Platform
- Maintain the confidentiality of account credentials
- Not share account access with unauthorised individuals
- Promptly notify Healnote of any suspected security breach or unauthorised access
- Not use the Platform to store or process data for any purpose other than legitimate clinical workflow management
- Not upload false, misleading, or fabricated patient records
9. Prohibited Uses
Users must not:
- Use the Platform in any manner that could harm patients, the public, or the integrity of medical practice
- Use AI-generated content as the sole basis for any clinical decision without independent professional medical review
- Attempt to access, probe, or test the security of the Platform without authorisation
- Use the Platform to process data of patients who have not provided appropriate consent
- Circumvent subscription limits through technical means
- Use the Platform in any manner that violates Egypt's Cybercrimes Law No. 175 of 2018
10. Limitation of Liability
10.1 Disclaimer of Outcomes
To the maximum extent permitted by Egyptian law, Healnote shall not be liable for: (a) any clinical decision, medical error, misdiagnosis, or patient harm; (b) any loss of data; (c) any indirect, incidental, or consequential loss arising from use of the Platform.
10.2 Aggregate Liability
Healnote's total aggregate liability to any Clinic User shall not exceed the total subscription fees paid by that user in the 3 months preceding the claim.
10.3 Exceptions
Nothing in these Terms limits liability for: (a) death or personal injury caused by Healnote's negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be excluded under Egyptian law.
11. Termination
11.1 User Termination
Clinic Users may terminate their subscription at any time by providing 30 days' written notice to Healnote.
11.2 Healnote Termination
Healnote may terminate or suspend access immediately if: (a) a user breaches these Terms; (b) fraudulent or illegal activity is detected; (c) continued access poses a risk to patient safety or data security.
11.3 Effects of Termination
Upon termination, all licences granted to the user are revoked. Healnote will comply with applicable data retention and deletion obligations.
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Arab Republic of Egypt.
12.2 Jurisdiction
Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of Cairo, Egypt.
12.3 Good Faith Negotiation
Before commencing legal proceedings, parties agree to attempt resolution through good faith negotiation for a period of 30 days.
13. Amendments
Healnote reserves the right to amend these Terms at any time. Material changes will be communicated to registered Clinic Users by email at least 30 days before taking effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
